Content Terms and Conditions

This is the Content Agreement for iqcore.net and iqcore.co.uk ("Content Agreement"). The services at http://www.iqcore.net and http://www.iqcore.co.uk ("IQcore", "we", "us" or "our") are provided by 3MRT Ltd ("3MRT"). We are registered in Scotland as a Company under company number SC231846 and we have our registered office at Caledonian Exchange, 19a Canning Street, Edinburgh, EH3 8HE. Our main trading address is The Clocktower, Bush House, Edinburgh Technopole, Edinburgh, EH26 0BB, United Kingdom.

This Content Agreement which supplements our website Terms and Conditions describes the terms and conditions applicable to your uploading of content and offering for sale under the domain and sub-domains at http://www.iqcore.net and http://www.iqcore.co.uk (the "Site"). If you do not agree to be bound by this Content Agreement, you may not upload content or offer it for sale on the Site.

You must read, agree with and accept all of the terms and conditions contained in this Content Agreement, which includes those terms and conditions expressly set out below and those incorporated by reference, before you may upload content to the Site and or offer it for sale on the Site. Your use of the Site means that you accept, and agree to abide by all the policies in these terms and conditions, which supplement our website Terms and Conditions.

We may amend this Content Agreement at any time by updating this posting. You should check this Content Agreement from time to time to take notice of any changes we make as they are legally binding on you. Any amended Content Agreement will govern new user uploads from the date that it is posted on the Site. Existing content will be bound by the amended Content Agreement after the expiry of 30 days following the date of amendment.

This Content Agreement is effective on 1 March 2008 for new content.

By uploading content to the Site, you confirm:

1. you are legally able to sell each item included in a listing on the Site; and

2. the item is accurately described and correctly categorised and tagged.

The information you provide and your activities in uploading this content on our Site must not:

1. be false, inaccurate or misleading;

2. be offensive or menacing, abusive, defamatory, or in breach of copyright, confidence, privacy or any other rights;

3. infringe any third party's copyright, patent, trade mark, trade secret or other proprietary rights or rights of publicity or privacy;

4. be fraudulent or involve the sale of counterfeit or stolen items;

5. be in breach of any applicable laws or regulations (including, but not limited to, laws governing export control, consumer protection, unfair competition, anti-discrimination, false advertising);

6. be obscene, indecent or contain child pornography;

7. create liability for us or cause us to lose (in whole or in part) the services of our ISPs or other suppliers;

8. link directly or indirectly to or include descriptions of goods or services that: (a) are prohibited under this Content Agreement; (b) are identical to other items you have for sale but are priced lower than your item's IQcore price; (c) are concurrently listed for sale on a website other than the Site (this does not prevent linking to or advertising an IQcore item from another website); or (d) you do not have a right to link to or include;

9. contain any computer viruses, macro viruses, trojan horses, worms or anything else designed to interfere with, interrupt or disrupt the normal operating procedures of a computer or to surreptitiously intercept, access without authority or expropriate any system, data or personal information;

10. cause the Site to be interrupted, damaged, rendered less efficient or such that the effectiveness or functionality of the Site is in any way impaired.

To enable us to use your information to provide our services, you grant us a non-exclusive, world-wide, perpetual, irrevocable, royalty-free, sub-licensable licence to use the copyright, trade mark(s) (whether registered or unregistered) and database rights you have in your information (including the content you upload to the Site), in any media now known or not currently known. You also waive all moral rights you have in your information to the fullest extent permitted by law.

We will determine, in our discretion, whether there has been a breach of this Content Agreement through your use of the Site. When a breach of this Content Agreement has occurred, we may take such action as we deem appropriate. Failure to comply with this Content Agreement constitutes a material breach of the terms of use upon which you are permitted to use the Site.

If (a) you breach this Content Agreement or the documents incorporated by reference; (b) we are unable to verify or authenticate any information you provide to us, despite using reasonable endeavours; or (c) we believe that your actions may cause us financial loss or legal liability, we may take the following actions without limiting our other remedies:-

1. limit your activity on the Site;

2. issue a warning;

3. suspend or terminate your user registration or any of your item listings; and

4. refuse to provide our services to you without notice to you.
